WowServe Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by WowServe, Inc. ("WowServe," "we," "us," or "our"), including our websites, software applications, mobile applications, communications services, artificial intelligence features, and related products and services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old and capable of forming a legally binding agreement to use the Services.
If you use the Services on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
2. Accounts
You are responsible for:
- Maintaining account security
- Protecting login credentials
- Activities occurring under your account
- Ensuring information remains accurate and current
You must promptly notify WowServe of any unauthorized access or security incident.
3. Services
WowServe provides field service management software and related services, including but not limited to:
- Scheduling and dispatching
- Customer relationship management
- Estimates and proposals
- Invoicing and payments
- Messaging and communications
- Call recording and transcription
- Artificial intelligence features
- Mobile applications
- Reporting and analytics
- Third-party integrations
We may modify, improve, suspend, or discontinue portions of the Services at any time.
4. Subscription Plans and Billing
Certain Services require payment of subscription fees.
By subscribing, you agree to pay all applicable fees and taxes.
Subscriptions automatically renew for successive renewal terms unless canceled before the renewal date.
You authorize WowServe and its payment processors to charge your selected payment method for all amounts due.
All fees are non-refundable except where required by law.
Failure to pay fees may result in suspension or termination of Services.
5. Customer Data
You retain ownership of all data, information, content, files, communications, and materials submitted to the Services ("Customer Data").
You grant WowServe a limited license to access, process, store, transmit, and use Customer Data solely to provide, maintain, secure, and improve the Services.
You are responsible for:
- Obtaining required permissions and consents
- Compliance with applicable laws
- Accuracy of Customer Data
6. Artificial Intelligence Features
The Services may include AI-powered features that generate content, recommendations, summaries, analyses, workflows, or other outputs.
AI-generated content may contain inaccuracies and should be reviewed before use.
You remain responsible for all business decisions and actions taken based on AI-generated outputs.
WowServe may use aggregated and anonymized information to improve the Services.
WowServe does not use Customer Data to train public artificial intelligence models without your authorization.
7. Communications and Call Recording
The Services may facilitate:
- Telephone calls
- SMS and MMS messaging
- Emails
- Chat communications
- Voicemail
You are solely responsible for obtaining all legally required consents relating to communications, call recording, monitoring, transcription, messaging, and related activities.
WowServe is not responsible for your compliance with federal, state, or local communications laws.
8. GPS and Location Data
Certain Services may collect and process location information from mobile devices.
You are responsible for obtaining any required permissions, notices, and consents relating to location tracking of employees, contractors, technicians, or other users.
9. Acceptable Use
You agree not to:
- Violate applicable laws
- Infringe intellectual property rights
- Distribute malware or malicious code
- Attempt unauthorized access
- Interfere with Service operation
- Transmit unlawful, harmful, fraudulent, or deceptive content
- Use the Services to send unsolicited communications
We may suspend or terminate accounts that violate these Terms.
10. Third-Party Services
The Services may integrate with third-party providers, including payment processors, telecommunications providers, accounting platforms, mapping services, and artificial intelligence providers.
Your use of third-party services is governed by their respective terms and policies.
WowServe is not responsible for third-party services.
11. Intellectual Property
The Services, software, technology, designs, trademarks, logos, documentation, and related materials are owned by WowServe or its licensors and are protected by applicable intellectual property laws.
Except for limited rights expressly granted in these Terms, no rights are transferred to you.
12. Feedback
If you provide suggestions, feedback, ideas, or recommendations regarding the Services, WowServe may use such feedback without restriction or compensation.
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
WOWSERVE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED SERVICE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WOWSERVE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
WOWSERVE'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO WOWSERVE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15. Indemnification
You agree to defend, indemnify, and hold harmless WowServe and its officers, directors, employees, affiliates, and agents from claims, liabilities, damages, losses, and expenses arising from:
- Your use of the Services
- Your Customer Data
- Your violation of these Terms
- Your violation of applicable laws
16. Termination
You may stop using the Services at any time.
WowServe may suspend or terminate access to the Services if:
- You violate these Terms
- Fees remain unpaid
- We reasonably believe continued access presents risk
Sections intended to survive termination shall remain in effect.
17. Arbitration Agreement
Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association.
Arbitration shall take place in Delaware.
Each party waives the right to a jury trial.
18. Class Action Waiver
You agree that disputes shall be resolved solely on an individual basis.
You waive any right to participate in class actions, class arbitrations, representative actions, or similar proceedings.
19. Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.
20. Changes to Terms
We may modify these Terms from time to time.
Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
